Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by AluminatAI Inc. ("AluminatAI", "we", "us", or "our"), including our GPU energy monitoring platform, REST API, monitoring agent software, and web dashboard (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

AluminatAI provides GPU energy monitoring, cost attribution, and chargeback tooling for AI infrastructure. The Service collects GPU telemetry (power draw, utilization, temperature, energy consumption) from customer-installed monitoring agents, attributes usage to jobs and teams, and presents cost analytics through a web dashboard and API.

To use the Service you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and API keys. You must notify us immediately at team@aluminatiai.com of any unauthorized use of your account.

You may not share your account or API keys with third parties. Each API key is associated with a single account and is used to authenticate the monitoring agent.

New accounts receive a 7-day free trial. No credit card is required to start the trial. After the trial period, continued use of the Service requires a paid subscription.

Subscriptions are billed monthly at $15 per active GPU per month. An "active GPU" is any distinct GPU UUID that reported telemetry within the previous 7 days. We sample your GPU count daily and bill based on the peak count observed during the billing cycle.

Subscription fees are charged in advance at the start of each billing period via Stripe. All fees are non-refundable except as required by applicable law or as expressly set forth in these Terms.

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. You retain access to the Service until that date.

We reserve the right to suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe poses a risk to the Service or other users. We will provide advance notice where reasonably practicable.

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days following termination, after which it may be permanently deleted. You may export your data at any time through the dashboard.

You agree not to:

• Use the Service to monitor systems you do not own or have explicit authorization to monitor
• Reverse engineer, decompile, or disassemble any portion of the Service
• Attempt to gain unauthorized access to other users' data or the Service infrastructure
• Use the Service in a way that violates any applicable law or regulation
• Resell, sublicense, or otherwise make the Service available to third parties without our written consent
• Transmit malicious code or interfere with the integrity or performance of the Service

You retain ownership of all GPU telemetry data you transmit to the Service. By using the Service, you grant AluminatAI a limited, non-exclusive license to process, store, and analyze your data solely to provide the Service and as described in our Privacy Policy.

AluminatAI may use aggregated, anonymized, and de-identified data derived from the Service for product improvement, benchmarking, and research purposes.

The Service, including its software, design, and documentation, is owned by AluminatAI and protected by intellectual property laws. The open-source monitoring agent is licensed under the MIT License.

You are granted a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term, solely for your internal business operations.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ERRORS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALUMINATAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

ALUMINATAI'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO ALUMINATAI IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to indemnify, defend, and hold harmless AluminatAI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. You waive any right to participate in class actions.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the dashboard. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes.
